AMENDED AND ADOPTED PINECREST- GABLES BY THE SEA
HOMEOWNERS ASSOCIATION BY LAWS
The following are the Amended
ARTICLE I
The name of this organization is the Pinecrest- Gables By The Sea Homeowners’ Association, Inc. hereinafter referred to as the “Association”.
ARTICLE II
PURPOSES
The Purpose of this Association in addition to being stated in the Charter are:
A. To cooperate lawfully with governmental agencies in matters affecting the foregoing purpose of the Association;
B. To otherwise lawfully adopt policies and conduct programs for the improvement of the community.
ARTICLE III
MEMBERSHIP & DUES
Section I: Membership in the Association is contingent on ownership of property in Pinecrest by the Sea or Gables by the Sea.
Section II: Membership is unrestricted by consideration of nationality, race, creed, life-style, color, sex or age.
Section III: Annual membership dues in the Association are determined by the Board of Directors and are payable January 1 and delinquent June 1. Members who are delinquent in paying their dues shall be ineligible to vote until their dues are paid.
ARTICLE IV
OFFICERS
The officers of this Association are the President, Vice-President, Treasurer, and Secretary.

President: serves as the official representative of the Assocation and presides at all meetings of the Board of Directors and the general membership. The president shall keep all records and books of the Association.

Vice-president: observes and assists the President in preparation for assuming the duties and responsibilities of that office and performs the duties of the President in the absence or inability of the President to act.

Treasurer: Monitors the fiscal affairs of the Association and provides reports and interpretation to the Board of Directors and the general membership.

Secretary: Assures records are maintained of the proceedings of all business meetings of the Board of Directors and the general membership.
ARTICLE V
BOARD OF DIRECTORS
The Board of Directors consists of four (4) officers and five (5) Association members who are not officers to be elected annually. It has the power, authority, and responsibility to manage the affairs of the Association,
Section 1: Meetings

Meets at least one time each month.

Special meetings of the Board of Directors may be called by the President or upon written request of three members of the Board of Directors.

Five (5) members of the Board, two of whom are officers, constitute a quorum.
ARTICLE VI
COMMITTES
Section 1: Standing Committees

The standing committees of the Association are appointed annually by the President. Each committee consists of a chairperson and at least three (3) members. A majority of the members constitutes a quorum.

The chairpersons of these committees may attend the Board of Directors meetings, but are not voting members.
Section 2: Special Committees

Special Committees may be appointed by the President and cease to exist when the purpose for which created is completed.
ARTICLE VII
NOMINATING COMMITTEE- NOMINATIONS
ELIGIBILITY- ELECTIONS-TERMS-VACANCIES
Section 1: Nominating Committee

Meets as needed
Section 2: Nominations

The Nominating Committee prepares and presents a slate of candidates to serve in elected capacity.

The slate of candidates shall be distributed to all members of the Association ten (10) days prior to the election meeting.

Nomination may be made from the floor provided that eligibility has been verified and consent to serve if elected was obtained from the nominee and is submitted at the time of the nomination.
Section 3: Eligibility

To be eligible for elective office, the nominee must be a member in good standing of the Association.

The members of the Nominating Committee may not be listed as candidates for election on a slate which they have prepared.
Section 4: Elections

The Officers and Board of Director shall be elected by written ballot at the Annual Meeting, and plurality elects. In case of a tie, choice is by lot.

No proxy votes will be accepted.

Each member in good standing shall be entitled to one vote. A husband and wife shall be entitled to one (1) vote.
Section 5: Term of Office

The Vice- president is the President-elect and serves in the capacity for one (1) year, and then as president for one (1) year. The Vice-president is elected each year.

The Treasurer shall serve a term of two (2) years and shall serve until their successors have assumed office.

The Secretary shall serve a term, of one (1) year and shall serve until their successors have assumed office.

The Directors shall serve a term of one (1) year and shall serve until their successors have assumed office.
Section 6: Vacancies

President: The Vice-president immediately assumes office.

Vice- president: A vacancy in the office of Vice-president is filled by a vote of the Board of Directors from a slate submitted by the Nominating Committee.

The Board of Directors fills all other vacancies.
ARTICLE VIII
MEETINGS
The annual Meeting of the Association shall be held in January the time and place to be set by the Board of Directors. The administrative year of the Association shall be from January 1st to Decemeber 31st.
ARTICLE IX
WALL
The Association is the owner of the all at the intersection of Red Road and Old Cutler Road in front of Gulliver Academy. Same cannot be transferred or conveyed except by two-thirds (2/3) written vote of the membership of the Association.
ARTICLE X
PARLIAMENTARY AUTHORITY
Robert’s Rules of Order newly Revised is the parliamentary Authority of the Association.
ARTICLE XI
AMENDMENTS
Amendment to the Bylaws may be made by a vote of two-thirds (2/3) of the memberships present in good standing by vote at a meeting of the General Membership. A copy of any proposed change shall first be sent to each member, together with notice of time, place, and date of the meeting.
